Terms and conditions of registration, payment and participation
to any HSM Events (the "Terms of Registration")

HSM Americas Inc. and its subsidiaries and affiliates ("HSM", "us", "we") and you ("You") agree to the following terms and conditions of registration, payment and participation (“Terms of Registration”) that govern your registration, payment and participation at any of the HSM Events (“Events”).

Registration fee
Registration to Events constitutes acceptance of these Terms of Registration. All the prices are quoted per person and do not include taxes, travel and other personal expenses of the registrant. The registration fee does include a license to attend the speeches of the principal speakers listed in the Events brochure. In some Events the registration fee will include as well as one additional special event subject to availability. The availability of the special sessions will be primarily done on a first come basis though HSM reserves the right to allocate space to the special sessions in its judgment. We do reserve the right to increase the price at any time. For group discounts, please contact us for more information.

Payment
All registration forms must include a payment. The pricing of the Events is based on the date that both the registration form and payment is received. Payment may be made by credit card, wire transfer or by check payable to HSM Americas Inc. Registration forms received without payment will not be processed. We reserve the right to reject any registration for any or no reason as long as it is not an unlawful reason.

Cancellations. Changes to the Event's Particulars

Forum Events: If you request cancellation up to 45 days prior to the event (“Cancellation Deadline”), the refund will be processed in the same manner (i.e., credit card, check etc.) that the registration payment was made, less a processing fee of $250  For cancellations in writing requested after the Cancellation Deadline and before 10 days prior to the event (“credit deadline”), a credit refund will be granted for HSM events to be held until December 31st of the following year that the event purchased takes place. . No cancellation will be allowed or credit or refund granted after the credit deadline However, tickets may be transferred to a substitute participant. Forum credits can be used only towards other Forum events. No credit will be granted toward other types of HSM events. Credit use is subject to availability at the event toward which the credit is being used.

Special Management Program Events: If you request cancellation up to 45 days prior to the event (“Cancellation Deadline”), the refund will be processed in the same manner (i.e., credit card, check etc.) that the registration payment was made, less a processing fee of $500.  For cancellations in writing requested after the Cancellation Deadline and before 21 days prior to the event (“credit deadline”), a credit refund will be granted for HSM events to be held until December 31st of the following year that the event purchased takes place. No cancellation will be allowed or credit or refund granted after the credit deadline However, tickets may be transferred to a substitute participant. Credit use is subject to availability at the event toward which the credit is being used.

For all types of events:  We reserve the right to cancel the Events, and in the unlikely event this were to occur, we would promptly refund your total fee paid, in the same form of payment as it was received from you. HSM will accept no responsibility for covering airfare, hotel or other costs incurred by the registrants.
HSM may at any time, with or without giving notice, in its absolute discretion and without giving any reason, cancel or postpone the Event, change its venue or any of the other published particulars or withdraw your invitation to attend. In any case, neither HSM nor any of its officers, employees, agents, members or representatives shall be liable for any loss, liability, damage or expense suffered or incurred by any person, nor will they return any money paid to them in connection with the Event unless you have been unfairly prejudiced (as to which, decision shall be in their sole and unfettered discretion and, when announced, final and conclusive).

Travel arrangements and visas
Participants are responsible for making their own travel arrangements. It is recommended that you check your visa requirements with your local Embassy or Consulate. We are unable to send letters supporting visa applications to embassies prior to receipt of your registration form and full payment of registration fees. Please apply for your visa in good time.

Use of your information
HSM takes your privacy very seriously. The information submitted by you to us, will be used for registration and administrative purposes. When registering with us at our site, you expressly agree and authorize us to use your information (name, address, email address or telephone number) to help us provide the products and services you have requested, and keep you informed of offers that may be of your interest. Additionally, you expressly agree that we may share your information both (i) with other HSM Group companies, and (ii) with our business partners. You hereby further accept and authorize us to share your information with other reputable companies outside of the HSM Group both within and outside the USA to keep you informed of offers that may be of interest to you. They may wish to contact you either in writing, by mail, by fax or by e-mail.
At times we may be required by law or litigation to disclose your personal information. We may also disclose information about you if we determine that for national security, physical threat, law enforcement, or other issues of public importance, in which disclosure is necessary.
Disclaimer
We can not be held liable for any of the content of the panels, speeches, speakers, ads, or any other material distributed during the Events, as they are not under our control. Neither us nor the facility can take responsibility for any damage, loss, or costs that you may incur in connection with your participation in the Events. Changes to the published program, cancellation of parts thereof, or your non participation in any special event will not entitle you to any refund of the registration fee. We reserve the right to make any agenda changes without prior notice.

HSM's Intellectual Property rights
You hereby expressly acknowledge that this conference, the material provided to you, and all of its content, are copyright protected. You further agree not to violate in any form all of the copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws, contained in this site, or at the Events. Any copy, reproduction or redistribution of any material of HSM or distributed in the conference, for commercial purposes and without our consent is prohibited. We reserve the right to pursue any and all legal and equitable remedies against you. For the use of licensed machines, software, hardware, and other proprietary material available at the Events, their own license terms and conditions apply.

Changes
We reserve the right to change these Terms of Registration. If we change these terms, those changes will be posted here for your information. We further reserve the discretionary right to modify any features of this site or services provided there in at any time.

Permission to Use Information for Marketing purposes
By registering to any of our Events, you agree that your picture and your likeliness may be used by HSM in its business development efforts and materials.

Limitation of Liability
HSM and its shareholders, officers, managers, directors, employees, subsidiaries, affiliates, or agents are not liable to you for any direct, indirect, incidental, punitive, consequential or special damage that may result from your registration and/or participation in any of our Events, that may be alleged based on contract, tort, negligence, strict liability, or other legal theory. Any claim against us shall be limited to the amount you paid, if any, for your participation in the corresponding Event.

Applicable law and jurisdiction
This Agreement will be interpreted by the laws of the State of New York with regards to contracts executed and fully performed therein. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Registration or your use of this site shall be filed only in the state or federal courts located in the State of New York.

General Provisions
These Terms of Registration constitute the entire agreement between you and HSM, superseding any prior or contemporaneous, either oral or written, communications.
